Job Details Key Responsibilities:
- Work with legal and commercial colleagues to review and finalize leases, memorandums, NDAs, MSAs, licensing agreements, purchase agreements, option agreements, and other contracts.
- Coordinate execution of a wide variety of legal agreements in accordance with internal requirements; coordinate notarization of agreements as necessary.
- Review confidentiality and basic service agreements with attorney supervision to identify terms that are inconsistent with preferred positions.
- Assist the Development team to monitor and track terms and conditions under active contracts including obligations, deadlines, renewal dates, payment dates, etc.
- Assist with drafting and amending documents, including documents related to real estate transactions, corporate transactions, resolutions, and organizational documents.
- Prepare and file a variety of real estate documents, ensuring that they are consistent with state and county filing requirements.
- Maintain closing files for various corporate and real estate transactions; compile closing sets/checklists and assist with transaction closings.
- Coordinate review of title, surveys, real property records, and other real estate due diligence; coordinate with title companies regarding title commitment matters.
- Preparation of first draft of applications, reports, and filings and generally supporting the legal team with various legal, regulatory, and compliance related tasks;
- Provide risk and compliance support to maintain effective compliance and monitoring policies and protocols; track regulatory developments to provide compliance updates and reports.
- Assist with the Legal team’s training sessions to the company.
- Where necessary, research points of law and provide concise, accurate and business-relevant summaries.
Requirements:
- Experience working in a legal environment, preferably at a large law firm or in-house.
- Proven paralegal experience, ideally with excellent knowledge of the processes related to real estate, land acquisition and energy development.
- Strong drafting, research, communication, and organizational skills.
- An active notary license is a bonus.
- Familiarity with Quorum/On Demand Land is a bonus.
